And consequently they do stand with regard to that corporation when formed, in what is commonly called a fiduciary relation to some extent.

In " Murad v Al Saraj " the Murad sisters entered a joint venture ( creating a fiduciary relation, like for trustees ) with Mr Al Saraj to buy a hotel.

When a court desires to hold the offending party to a transaction responsible so as to prevent unjust enrichment, the judge can declare that a fiduciary relation exists between the parties, as though the offender were in fact a trustee for the partner.

I think that the extent of that fiduciary relation, which, as already said, in my opinion, the promoters bear to the company, is a very important consideration in construing that section; and I am desirous to avoid prejudging that question by saying in this case more than is necessary for its decision.
